The Municipal Advisory Council of Texas (“Texas MAC”) operates as the State Information Depository (“SID”) for Texas, and Texas issuers and other obligated persons have undertaken to make filings with the SID under continuing disclosure undertakings entered into prior to July 1, 2009, the effective date of SEC Rule 15c2-12 (“the Rule”) amendments. (Although the SEC, in amending the Rule, deleted requirements that underwriters obtain commitments to file with SIDs under post-effective date undertakings, in doing so it advised that “the final amendments will have no effect on the obligations of issuers and obligated persons under outstanding continuing disclosure agreements entered into prior to the effective date of today’s amendments to the Rule, to submit continuing disclosure documents to the appropriate SID.”)

Attention Filers:

IF YOU HAVE ALREADY MADE A DISCLOSURE FILING ON THE MSRB’s Electronic Municipal Market Access (EMMA), YOU DO NOT NEED TO FILE THE SAME INFORMATION WITH THIS SITE.

Texas MAC has subscribed to an instantaneous feed of all filings made with the MSRB for Texas issues, and we intend to maintain the subscription for so long as we remain designated as the SID for Texas. To minimize burdens on issuers and other obligated persons under existing continuing disclosure agreements, we have received a legal opinion from Fulbright & Jaworski L.L.P. to the effect that, so long as the SID continues its subscription and automatically receives on a real-time basis all such continuing disclosure documents filed the MSRB through EMMA, then an issuer may satisfy any existing continuing disclosure undertaking to make filings with the applicable SID by filing with EMMA (without also separately submitting the filing directly to the SID). We intend to notify past filers promptly in the unlikely event that our subscription lapses.

Fulbright & Jaworski Legal Opinion

“Small” Issuer Filings. Under the Rule as amended, so-called “small” issuers who elect to make filings of selected publicly available information will be required to file such information with the MSRB, rather than with the applicable SID. However, some Texas issuers are required by pre-effective date continuing disclosure undertakings to file with the SID. Those issuers may still use this website to make a filing directly to the Texas MAC or, alternatively, may do so by filing voluntarily with the MSRB.

Texas MAC posts filings for Texas issues received from EMMA into the SID database. An index of the filings we have posted into the SID database is available on the MacTexas.com website under Disclosure Filings.
